Introduction
If you have been through company registration in India recently, you will know the process has picked up a fair number of extra steps over the years — forms multiplying, mandatory registrations bundled in, and physical office verification adding delays. The Ministry of Corporate Affairs (MCA) has now proposed a rule change aimed squarely at undoing some of that friction. If you are planning to incorporate a private limited company or LLP in Ghaziabad, Delhi NCR, or anywhere in India, the proposal matters to your timeline and cost.
On 8th April 2026, MCA released a draft notification called the Companies (Incorporation) Amendment Rules, 2026, along with an explanatory note, and invited public comments through its e-Consultation portal until 9th May 2026. As of now, it is still a draft — nothing in it is law yet, and the existing incorporation process continues to apply until MCA formally notifies the final rules. We are watching closely for that notification and will update this post the moment it lands.
What Is Actually Being Proposed
The draft is a genuine attempt at simplification, not a minor tweak. A few changes stand out for anyone planning to set up a company:
- Fewer forms to juggle. Nine separate e-forms used for things like registered office changes and company conversions would be consolidated into just two — one for changes (name, registered office) and one for conversions and regulatory approvals.
- Room for more directors upfront. The cap on how many DINs (Director Identification Numbers) can be applied for in a single incorporation filing would rise from 3 to 5 — useful if you are incorporating with a larger founding team.
- One less signature to chase. Subscribers to the Memorandum of Association would get "deemed consent" instead of needing a separate consent filing.
- Lighter-touch office verification. Physical verification of the registered office would shift from mandatory to risk-based, and co-working spaces would be explicitly recognised as valid registered addresses.
- AGILE-PRO-S becomes optional. Right now, incorporation bundles in EPFO, ESIC, and bank account registrations by default. The draft would make that optional rather than compulsory.
- Easier road for One Person Companies. The affidavit currently required for OPC conversion would be dropped, and the criminal penalty for not converting an OPC on time would be removed entirely.
What This Means for You Right Now
Nothing changes yet — if you are incorporating a company today, you are still going through SPICe+, the current form set, and the existing AGILE-PRO-S requirements. But if you are planning to set up a company in the next few months and have some flexibility on timing, it is worth keeping an eye on this: several of these changes (especially the AGILE-PRO-S and DIN cap ones) could genuinely make the process faster and cheaper once notified.
Why this matters for your timeline
- If you can wait: When the final rules are notified, expect fewer forms, a shorter verification process, and an optional AGILE-PRO-S — which typically translates to faster and cheaper incorporation.
- If you cannot wait: The current process remains the law until notification. Plan for the existing SPICe+ form set and the current AGILE-PRO-S bundle.
Practical points to remember
- The draft is open for public consultation; the final notified rules may differ from what is proposed.
- There is no specified date for the final notification yet — keep an eye on the MCA website or ask your CA to track it for you.
- Changes that need system changes on the MCA21 V3 portal (such as the new two-form structure) may take time after notification to become fully operational.
